1. Introduction

Welcome to HelpCrew ("we," "our," or "us"). By accessing or using our platform, websites, mobile applications, or any of our services (collectively, the "Services"), you agree to be bound by these Terms and Conditions (the "Terms"). These Terms constitute a legally binding agreement between you and HelpCrew.

Please read these Terms carefully. If you do not agree with any part of these Terms, you must not use our Services. By accessing or using our Services, you represent that you are at least 18 years old or that you are the legal age of majority in your jurisdiction.

2. Definitions

In these Terms:

  • "User," "you," or "your" refers to any individual or entity using our Services.
  • "Campaign" refers to a help coordination initiative created on our platform.
  • "Content" refers to all text, information, data, images, videos, or other materials submitted to or displayed on our Services.
  • "Personal Data" refers to any information relating to an identified or identifiable natural person.
  • "Premium Services" refers to subscription-based features available for a fee.

3. Account Registration and Security

To access certain features of our Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to:

  • Create a strong and secure password
  • Keep your account credentials confidential
  • Notify us immediately of any unauthorized access to or use of your account
  • Ensure that you exit from your account at the end of each session

We reserve the right to disable any user account if, in our opinion, you have violated any provision of these Terms.

4. Service Usage and Restrictions

HelpCrew provides a platform for organizing community support through various forms of assistance. You may use our Services only for lawful purposes and in accordance with these Terms.

You agree not to:

  • Use the Services in any way that violates applicable laws or regulations
  • Impersonate or attempt to impersonate HelpCrew, a HelpCrew employee, another user, or any other person
  • Engage in any conduct that restricts or inhibits anyone's use of the Services
  • Use the Services to transmit or distribute harmful code, spyware, or malware
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt the Services or servers
  • Use the Services for commercial solicitation purposes without our prior written consent
  • Harvest or collect email addresses or other contact information from users

5. User Content and Conduct

Our Services allow you to create campaigns, post content, and interact with other users. You retain ownership of any intellectual property rights in content you submit, but you grant us a worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purpose of providing our Services.

You are solely responsible for all content you post, upload, or otherwise submit to our Services. You agree that you will not post content that:

  • Is false, misleading, or fraudulent
  • Is defamatory, obscene, or offensive
  • Infringes upon any third-party rights, including intellectual property rights
  • Contains personal or sensitive information about others without their consent
  • Promotes illegal activities or contains harmful content
  • Is intended to solicit funds for purposes other than those explicitly permitted by our Services

We reserve the right, but not the obligation, to monitor, edit, or remove any content for any reason, including content that we believe violates these Terms.

6. Data Processing and Privacy

We use Supabase, a Backend-as-a-Service platform, to store and process your data. By using our Services, you acknowledge and agree that:

  • Your data may be stored and processed on Supabase's servers in various locations around the world
  • Your use of our Services is also governed by our Privacy Policy
  • We implement appropriate security measures to protect your personal data, but no method of transmission or storage is 100% secure
  • You have certain rights regarding your personal data as outlined in our Privacy Policy

We will only use your personal data for the purposes for which we collected it, unless we reasonably consider that we need to use it for another reason compatible with the original purpose.

7. Payments and Subscriptions

We use Stripe, a third-party payment processor, to process payments for our Premium Services. By making a payment, you agree that:

  • You are authorized to use the payment method you provide
  • You authorize us and Stripe to charge your payment method for the fees associated with your selected plan
  • Your payment information will be handled in accordance with Stripe's privacy policy and terms of service
  • For subscription services, your subscription will automatically renew at the end of each billing period unless you cancel it prior to renewal

Prices for our Premium Services are subject to change upon 30 days' notice. Such notice may be sent to the email address associated with your account or posted on our website.

If you believe an error has been made in charging your account, please contact us immediately at support@helpcrew.com.

8. Refund Policy

All purchases are final and non-refundable, except where required by law or as specified below:

  • If you cancel your subscription within 14 days of your initial purchase, you may request a refund
  • If our Services experience significant unavailability or technical issues that prevent usage, we may issue a prorated refund at our discretion
  • For help campaigns related to bereavement, material loss, or disaster relief that were charged in error, we will provide a full refund

9. Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by HelpCrew, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows:

  • Your computer may temporarily store copies in RAM incidental to your accessing and viewing those materials
  • You may store files that are automatically cached by your web browser for display enhancement purposes
  • You may print or download one copy of a reasonable number of pages for your own personal, non-commercial use
  • If we provide social media features, you may take such actions as are enabled by such features

10. Disclaimers and Limitations of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.HELPCREW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected. We are not responsible for any loss or damage that may result from the failure, delay, or interruption of the Services.

IN NO EVENT WILL HELPCREW, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND ARISING FROM THE USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES.

Some jurisdictions do not allow the exclusion of warranties or the limitation or exclusion of liability for certain types of damages. Therefore, some of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless HelpCrew, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms.

12. Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter.

Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes, as they are binding on you.

14. Governing Law and Dispute Resolution

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the jurisdiction in which HelpCrew is registered, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the courts of the jurisdiction in which HelpCrew is registered, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
